TERMS AND CONDITIONS OF SERVICE

By scheduling a free technical visit or accepting a service proposal presented by Prime Planning and Builders Inc. (hereinafter referred to as “Prime,” “we,” or “our”), you agree to be legally bound by these Terms and Conditions, which govern the contractual relationship between the Client and Prime for the execution of the requested services.

2. Nature of Service
Prime offers professional residential and commercial flooring and painting services. By scheduling a free technical visit, the Client authorizes our team to visit their property for:
✅ Measurement collection
✅ Photograph documentation
✅ Technical site evaluation
✅ Preparation of a formal proposal including: budget, estimated timelines, suggested materials, labor, logistics, and project phases
3. Contract Formation
Acceptance of the proposal sent by Prime (via email or electronic signature) constitutes a legally binding contract between the parties. This contract shall be signed electronically and will establish the mutual rights and obligations, including schedule, budget, payments, and warranty terms.
4. Service Warranties
✅ If Prime supplies the materials, a 15-day warranty is granted for defects in workmanship and materials.
✅ If the Client provides the materials, the warranty is limited to workmanship only. Prime is not liable for failures resulting from defective materials supplied by the Client.
5. Compensation and Payment Methods
The Client agrees to pay the total agreed amount under the following terms:
✅ Initial deposit: Upon signing the contract
✅ Remaining balance: In installments as outlined in the agreed schedule and budget
✅ Accepted payment methods: Bank transfer, Zelle, check
Default: If the Client delays payment for more than 5 days, Prime may temporarily suspend the work and apply the highest legal late payment interest rate allowed in Florida on overdue amounts.
6. Contract Duration
The contract will be effective for a period of days/months, beginning on the agreed contract date and subject to receipt of the deposit, and will end upon project completion unless mutually extended in writing.

7. Access and Work Schedule
The Client authorizes Prime’s personnel to access the property on business days between 8:00 am and 4:00pm. Any schedule changes will be coordinated with the Client to avoid inconvenience.
8. Changes and Modifications
✅ Change requests must be submitted in writing to info@primeplanbuild.com or the Client’s registered email.
✅ Change Orders shall include a description of the change, financial impact, timeline adjustments, and any additional conditions.
✅ Validity: Modifications are only valid once signed by both parties.
9. Prime’s Responsibilities
✅ Execute the work in accordance with technical standards and Florida regulations
✅ Address defects attributable to its personnel or execution
✅ Respect the Client’s property and privacy
10. Permits and Authorizations
The Client is responsible for obtaining any necessary official permits, unless otherwise stated in the signed contract. In all cases, permits must be available before the project begins.
11. Client Responsibilities
✅ Allow access to Prime’s personnel
✅ Ensure safe conditions for project execution
✅ Make timely payments according to the contract
✅ Fulfill all agreed-upon obligations
12. Confidentiality Clause
All information exchanged between Prime Planning and Builders Inc. and the Client shall be treated as confidential and shall not be disclosed to third parties without the express written consent of the other party, except when required by law.
13. Force Majeure
Neither party shall be held responsible for failure to fulfill obligations due to unforeseeable or uncontrollable events such as natural disasters, pandemics, strikes, public service interruptions, government actions, or permit delays.
14. Intellectual Property
All designs, technical proposals, reports, or materials generated by Prime during the contract execution will become the property of the Client, unless otherwise agreed.
15. Complaints Submission
The Client may submit any complaint or appeal via the form available at: www.primeplanbuild.com → “Complaints & Appeals” section
16. Dispute Resolution
Any disputes will be resolved as follows:
✅ Direct negotiation between the parties
✅ Mediation by a neutral entity (preferably located in Orlando)
✅ Only as a last resort, either party may seek legal action before the state courts of Orange County, Florida
17. Contract Termination
The contract may be terminated by either party with at least 15 days' written notice in the event of a material breach by the other party. The project will be considered finalized if:
✅ The Client signs the acceptance certificate
✅ Or 5 business days pass without formal written objection to info@primeplanbuild.com following project delivery
